We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
BPO Canada provides business process outsourcing services, including but not limited to:
- Customer operations and contact center services
- Finance and accounting outsourcing
- Human resources outsourcing and management
- Technology solutions and digital transformation
- Data analytics and business intelligence
- Process automation and optimization
Specific service terms, pricing, and deliverables are governed by separate Service Agreements executed between BPO Canada and the client. These Terms govern use of our website and general business relationship; Service Agreements govern the specific services provided.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
3.1 Account Registration
Certain features of our Services may require you to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
3.2 Account Eligibility
You must be at least 18 years old and capable of forming a binding contract to create an account. Accounts may only be created and used by authorized representatives of businesses or organizations.
3.3 Account Termination
We reserve the right to suspend or terminate your account at our discretion, without notice, for:

4.1 Our Content
All content on the Services, including but not limited to text, graphics, logos, images, software, data compilations, and the compilation of content (collectively, "Content"), is the property of BPO Canada or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
The BPO Canada name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BPO Canada. You may not use these marks without our prior written permission.
4.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms. This license does not permit:
- Copying, modifying, or distributing Content without authorization
- Reverse engineering or attempting to extract source code
- Using automated systems to access the Services (except as expressly permitted)
- Removing or altering any copyright, trademark, or proprietary notices
- Creating derivative works based on our Content or Services
4.3 Client Content
You retain all ownership rights in content and data you provide to us ("Client Content"). By providing Client Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process the Client Content solely to provide Services to you.

6.1 "As Is" Basis
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BPO CANADA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2 No Guarantee
We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- Results obtained from use of the Services will be accurate or reliable
- Defects in the Services will be corrected
- The Services will meet your specific requirements
6.3 Third-Party Content
The Services may include links to third-party websites or services. We do not endorse or assume responsibility for any third-party content, products, or services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BPO CANADA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Services
- Any conduct or content of any third party on the Services
- Unauthorized access, use, or alteration of your content or data
- Any other matter relating to the Services
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $1,000 CAD.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. Accordingly, some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless BPO Canada, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your Client Content
- Any breach of your representations and warranties
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.
During your use of the Services, you may have access to confidential information belonging to BPO Canada or other clients. You agree to:
- Maintain the confidentiality of all such information
- Use confidential information only for authorized purposes
- Not disclose confidential information to unauthorized parties
- Return or destroy confidential information upon termination
These confidentiality obligations survive termination of your access to the Services and continue indefinitely.
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas and the federal laws of the United States applicable therein, without regard to conflict of law principles.
10.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts located in Dallas, Texas for the resolution of any disputes arising from or relating to these Terms or the Services.
10.3 Arbitration Option
Either party may elect to resolve disputes through binding arbitration in accordance with the Texas Arbitration Act. The arbitration shall be conducted in Dallas, Texas, in English.
11.1 Entire Agreement
These Terms, together with our Privacy Policy and any Service Agreements, constitute the entire agreement between you and BPO Canada regarding the Services and supersede all prior agreements and understandings.
11.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to reflect the parties' intent to the greatest extent permitted by law.
11.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
11.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.
11.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
11.6 Survival
Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.
